BIENNIAL STATEMENT

New York State will no longer send paper Biennial Statement notifications. You will need to go to https://filing.dos.ny.gov/eBiennialWeb/ to file your Biennial Statement online. You will need to enter the business name and Department of State Identification Number ("DOS ID") exactly as it appears according to New York State. You can search your company in the official New York State records here You will need a credit card or debit card to pay the filing fee. 

Online filers will receive e-mail notification when the next Biennial Statement is due. This notification will be sent to the e-mail address provided when filing online. If your e-mail address changes after filing your Biennial Statement, you need to update your e-mail address at www.email.ebiennial.dos.ny.gov

Business entities that wish to file paper Biennial Statements in the future will need to contact the Department of State, Division of Corporations, State Records and Uniform Commercial Code to obtain a form.

Any business entity that fails to file a Biennial Statement as required by statue will be shown as "Past Due" or "Delinquent" in the records of the Department of State. A "Delinquent" corporation will be subject to a $250 fine and may be prohibited from filing other certificates with the Department of State.
